Welcome to Hyvnd Industries, a division of Hyvnd Holdings Pvt Ltd. By engaging with our products, services, and website, you agree to the terms and conditions outlined below. These terms are governed by Indian business laws and international trade regulations, including ICC rules. Please read them carefully before proceeding with any transaction.
1. General Provisions
1.1 These Terms and Conditions (T&C) govern all transactions between Hyvnd Industries (“the Company”) and its clients (“the Client”). 1.2 By placing an order or engaging in a contract with us, the Client acknowledges and agrees to these T&C without exception. 1.3 The Company reserves the right to update or modify these T&C at any time without prior notice. The most recent version will always be available on our website.
2. Products and Services
2.1 Scope of Offerings: Hyvnd Industries provides exports, imports, and domestic supply of products, including but not limited to agricultural goods, fuels, metals, packaging materials, printing services, and uniforms. 2.2 Sample Provision: The Company provides product samples before fulfilling bulk orders. Clients are encouraged to inspect and approve samples before proceeding with full-scale orders. 2.3 Custom Orders: For custom or bulk orders, the Client must provide detailed specifications and requirements in writing. The Company will fulfill these orders based on mutual agreement and provided specifications.
3. Order Confirmation and Processing
3.1 Agreement Confirmation: Full-scale order processing begins only after written agreement and sample approval by the Client. 3.2 Invoice Acknowledgment: Agreement confirmation and receipt of the invoice by the Client signify that the Client has agreed to the quality and quantity of the product. No refunds will be processed thereafter. 3.3 Delivery Timeline: Delivery timelines will be specified in the order confirmation and are subject to unforeseen circumstances such as natural disasters, strikes, or logistical disruptions.
4. Pricing and Payment
4.1 Pricing Policy: All prices are subject to change based on market conditions, taxes, duties, and other applicable charges. Final pricing will be stated in the invoice. 4.2 Payment Terms:
Payments can be made via wire transfer, LC (Letter of Credit), or other mutually agreed methods.
For international transactions, payments must adhere to ICC Uniform Customs and Practice for Documentary Credits (UCP 600).
Domestic transactions will follow Indian Payment and Settlement Systems Act, 2007. 4.3 Advance Payments: A percentage of the total amount, as agreed in the contract, must be paid in advance to secure the order. 4.4 Taxes and Duties: Clients are responsible for all applicable taxes, customs duties, and tariffs unless otherwise agreed in writing.
5. Shipping and Delivery
5.1 Shipping Methods: The Company uses reputable shipping carriers to ensure timely and secure delivery. 5.2 Incoterms: All shipments are governed by Incoterms 2020. The specific Incoterm (e.g., FOB, CIF, EXW) will be stated in the contract. 5.3 Customs Clearance: The Client is responsible for all customs clearance processes in the destination country unless otherwise agreed. 5.4 Risk of Loss: Risk of loss or damage transfers to the Client as per the agreed Incoterm.
6. Quality Assurance
6.1 Standards: The Company ensures all products meet international quality standards and comply with applicable regulations. 6.2 Inspection: Clients may inspect the products at the company’s factory only after submission of MT799 or MT199 through the buyer’s bank to the seller’s bank for international orders and by payment of advance for domestic orders before finalising the order. 6.3 Claims: Any claims regarding product quality or quantity must be made within seven (7) days before delivery. Claims must include photographic evidence and relevant documentation.
7. Refunds and Returns
7.1 Refund Eligibility:
Refunds will be issued strictly in accordance with the terms outlined in our Refunds and Returns Policy, available [here].
7.2 Non-Refundable Situations:
Refunds are not applicable under the following circumstances:
- After the client has approved product samples and acknowledged the invoice.
- Once the product is dispatched for delivery, whether for domestic or international orders.
7.3 Specific Scenarios for Refund Requests:
- International Orders: Refund requests are not entertained once the product has been loaded onto a cargo ship or freight for shipment. The client must notify us before the product leaves the Hyvnd Industries facility. Only third-party SGS Inspection Reports will be considered for refund-related claims in international orders.
- Domestic Orders: Refunds are not applicable after the product has left the Hyvnd Industries factory for delivery. Clients are required to verify the product before dispatch.
We strongly recommend clients to thoroughly verify product specifications, quality, and quantity before delivery to avoid any disputes.
8. Force Majeure
8.1 The Company is not liable for delays or failure to perform caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, wars, labor strikes, and governmental actions.
9. Intellectual Property
9.1 All content, designs, trademarks, and materials on the Company’s website and promotional materials are the intellectual property of Hyvnd Holdings Pvt Ltd. Unauthorized use is strictly prohibited.
10. Confidentiality
10.1 Both parties agree to maintain the confidentiality of proprietary information shared during the course of the business relationship.
11. Governing Law and Dispute Resolution
11.1 Governing Law: This agreement is governed by the laws of India and international trade laws. 11.2 Dispute Resolution: Any disputes arising from this agreement will be resolved through arbitration under the Arbitration and Conciliation Act, 1996 (India), or as per ICC Arbitration Rules, depending on the jurisdiction. 11.3 Jurisdiction: Courts in Hyderabad, India, will have exclusive jurisdiction over disputes.
12. Broker, Buyer Mandates, and Intermediary Commissions:
Commissions for brokers, buyer mandates, and intermediaries will be paid in accordance with international terms and conditions as outlined in NCNDA/IMFPA agreements. Once the buyer has paid the full amount for the ordered product, commissions will be directly credited into the designated bank accounts of the brokers or intermediaries.
The percentage of the commission will be mutually agreed upon and finalized before the order is confirmed, both for international and domestic transactions. This ensures transparency and clarity in handling commission payments as per the established agreements.
